Terms and Conditions (Algemene Voorwaarden)

These Terms and Conditions (“Terms”) apply to all offers, agreements, and services provided by Jonathan Lafer, trading as FTRE.co / Sayra, registered at Denneweg, 2514 CB, The Hague, Netherlands, KvK: 96260238 (“we”, “us”, “our”).
By using our website, platform, or services, you (“Client”, “User”) agree to these Terms.
1. Applicability
1.1 These Terms apply to all agreements, services, and use of the Sayra platform, unless expressly agreed otherwise in writing.
1.2 Deviations from these Terms are valid only if confirmed by us in writing.
1.3 If any provision of these Terms is found invalid, the remaining provisions remain in force.
2. Services
2.1 We provide AI-based services, including but not limited to:
Interactive video avatars;
Interactive voice avatars;
AI-driven radio stations;
Knowledge-based tools;
Other AI-related services requested by clients.
2.2 Our platform and services are continuously evolving. Features may be added, changed, or discontinued at any time.
2.3 Services are primarily offered to businesses (B2B), but may also be provided to individual consumers.
3. Accounts and Use
3.1 Users may create their own accounts.
3.2 Avatars and other core functions are assigned by us, after consultation and setup.
3.3 Users remain responsible for safeguarding their login credentials.
3.4 Access is restricted to persons aged 18 and over.
3.5 Misuse of the platform, including illegal or inappropriate use, may result in suspension or termination of access.
3.6 We reserve the right to refuse, suspend, or terminate accounts at our discretion, especially in case of misuse, non-payment, or breach of obligations.
4. Pricing, Payment, and VAT
4.1 Pricing is determined via individual agreements or custom contracts, based on scope of services and usage.
4.2 Usage-based billing is calculated according to underlying API costs and platform usage.
4.3 Invoices are currently issued manually; automated invoicing via Stripe may be introduced.
4.4 All invoices are payable within the term specified on the invoice.
4.5 VAT (BTW) rules:
Dutch individuals and companies: VAT applies.
EU companies outside the Netherlands: reverse charge applies (0% VAT with valid VAT number).
Non-EU clients: VAT is generally not charged, subject to applicable rules.
5. Liability and Availability
5.1 Services are provided “as is”. We make no guarantees regarding uninterrupted availability or error-free operation.
5.2 We are dependent on third-party APIs (including HeyGen, OpenAI, ElevenLabs, Suno, Stripe, and others). We are not liable for downtime, interruptions, or errors caused by third parties.
5.3 Our liability is limited to direct damages arising from proven fault attributable to us, up to the amount paid by the client for the relevant service in the preceding three months.
5.4 We are not liable for indirect or consequential damages, including loss of profit, loss of data, or reputational harm.
6. Intellectual Property and Rights of Personality
6.1 The Sayra platform, underlying software, and technology remain our exclusive property.
6.2 Clients are granted a non-exclusive, revocable license to use the platform during the term of their agreement.
6.3 Avatars created from a person’s likeness (voice, face, or video) remain subject to that person’s rights of personality. Such individuals retain the right to request removal or restrict usage, and their consent defines allowed purposes.
6.4 We retain ownership of the final avatar product as part of the platform, but client-provided data (knowledge bases, documents, recordings) remains the property of the client.
7. Term and Termination
7.1 Agreements are entered into for an indefinite period unless otherwise specified.
7.2 Clients may terminate on a monthly basis after consultation.
7.3 We may terminate access with immediate effect in cases of:
Non-payment;
Misuse of the platform;
Breach of contract or legal obligations.
7.4 Upon termination, access to accounts and avatars will be revoked. Data may be deleted in accordance with our Privacy Policy.
8. Privacy and Data Protection
8.1 Processing of personal data is governed by our Privacy Policy, which forms part of these Terms.
8.2 Clients acknowledge that certain data may be transferred outside the EU due to use of third-party AI services.
9. Governing Law and Jurisdiction
9.1 These Terms are governed by Dutch law.
9.2 Disputes will be submitted exclusively to the competent court in The Hague, the Netherlands.
10. Changes to Terms
10.1 We may amend these Terms to reflect service changes, legal requirements, or operational needs.
10.2 The latest version will always be published on our website.
10.3 Continued use of the platform after changes constitutes acceptance of the new Terms.
